100 Year Anniversary & Special Tribute

Founded in 1924, Hilliards is celebrating its 100th anniversary by partnering with the Alzheimer’s Association as a tribute to Charles C. McCarthy (1954-2023), who worked alongside his wife, Judy Hilliard McCarthy, owning and operating Hilliards from 1981 to 2021 when he was diagnosed with Alzheimer's disease.

Promotion Detail

Centennial Promotions

Beginning in the first calendar quarter of 2024 and ending December 31, 2024 , Company shall prominently promote and offer for sale the sweet memories tin (the “Tin”) through Company owned and operated direct response, direct to consumer channels at a retail price of $29.95, of which $5.00 per unit sold, less returns and chargebacks, will be paid by Company to Association (the “Payments”), for Company’s use of the Association Designs in connection with the sale of the Product (the “Tin Promotion”).

Beginning in the fourth calendar quarter of 2023 and ending the earlier of December 31, 2024 or while supplies last, Company shall prominently promote and offer for sale the 2024 calendar (the “Calendar”) through Company owned and operated direct response, direct to consumer channels at an initial retail price of $10.00 (subject to normal-course discounts and clearance pricing), of which 100% of the retail price per unit sold, less returns and chargebacks, will be paid by Company to Association (the “Payments”), for Company’s use of the Association Designs in connection with the sale of the Product (the “Calendar Promotion”).

Charlie Bar Promotion

Company shall conduct the following Promotions (defined below) beginning in the second calendar quarter of 2024 and ending December 31, 2024.

Company shall promote and offer for sale the Charlie Bar through Company owned and operated direct response, direct to consumer channels at an initial retail price of $3.50 (subject to change over time), of which $1.00 per unit sold, less returns and chargebacks, will be paid by Company to Association (the “Payments”), for Company’s use of the Association Designs in connection with the sale of the Product (the “Charlie Bar Promotion”).

Minimum Commitment

Total Payments to the Association from the Company through the duration of the initial term of the promotions shall not be less than $25,000.
